Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Enbrite LLC ("we," "us," or "our") governing your access to and use of Prosper Finance (the "Service"), including the Prosper web application, AI-powered features, and any related tools, APIs, or communications.

By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms, and references to "you" include that business.

Please read these Terms carefully. They include important provisions about your rights, our limitations of liability, and (in Section 16) how disputes are resolved.

1. The Service

Prosper Finance is an AI-assisted bookkeeping platform that helps individuals and businesses organize transactions, generate financial reports, connect bank accounts, send invoices, and manage their books. The Service is provided "as is" and "as available." We may update, modify, or discontinue features at any time with reasonable notice.

The Service is currently available in the United States only. By using the Service, you confirm that you are accessing it from within the United States.

2. Eligibility and Account Registration

To use the Service, you must be at least 18 years old and capable of forming a legally binding contract. You must provide accurate, current, and complete information during registration and keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@prosperfinance.app if you suspect unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account.

3. Subscription Plans and Billing

3.1 Plans and Fees

The Service is offered under multiple subscription plans, including a free Starter tier and paid plans (Pro and Agency). Current pricing is available at prosperfinance.app/pricing. Paid plans are billed monthly or annually, in advance.

3.2 Payment Processing

Payments are processed by Stripe, Inc. By providing a payment method, you authorize us to charge your payment method for the applicable subscription fees. All fees are in US dollars and are non-refundable except as required by law or as stated in our refund policy.

3.3 Free Trials and Promotional Offers

We may offer free trials or promotional pricing from time to time. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

3.4 Changes to Pricing

We may change subscription fees with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

3.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to the Service until then. We do not provide pro-rated refunds for partial billing periods except where required by law.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service for any illegal purpose or in violation of applicable law or regulation
Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our infrastructure
Upload, transmit, or store malicious code, viruses, or other harmful content
Use the Service to process financial data on behalf of third parties without their consent
Reverse engineer, decompile, or attempt to extract source code from the Service
Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent
Use automated scripts, bots, or scrapers to access the Service outside of permitted API use
Impersonate another person or entity, or misrepresent your affiliation with any person or entity
Attempt to manipulate, circumvent, or abuse the AI features, including through prompt injection or adversarial inputs designed to produce harmful outputs

5. Your Data

5.1 Ownership

You retain all rights and ownership in the bookkeeping data, financial records, invoices, and other content you upload or create in the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Operate the Service

By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, process, and display Your Data solely to the extent necessary to provide and improve the Service, as described in our Privacy Policy.

5.3 Accuracy

You are solely responsible for the accuracy and completeness of Your Data. We are not responsible for errors or omissions in data you provide, import, or connect to the Service.

5.4 Backups

While we implement reasonable data protection measures, you are responsible for maintaining your own backup copies of critical financial records. We recommend exporting your data regularly using the export tools in the Service.

6. AI Features

6.1 AI-Powered Functionality

The Service includes AI-powered features ("AI Features") such as transaction categorization suggestions, plain-English explanations, summaries, and a conversational bookkeeping assistant. AI Features are designed to reduce manual effort, but they may generate outputs that are inaccurate, incomplete, or not appropriate for your specific situation.

6.2 Your Responsibility to Review

You are responsible for reviewing and confirming any AI output before applying it to your bookkeeping records, reports, or financial decisions. Do not apply AI suggestions to your books without human review.

6.3 Not Professional Advice

AI Features do not constitute and are not a substitute for accounting, tax, legal, or financial advice. The Service does not create any professional or fiduciary relationship between you and us. You should consult a qualified professional (such as a CPA, tax advisor, or attorney) for decisions that require professional expertise.

6.4 No High-Stakes Reliance

You agree not to use AI outputs as the sole basis for high-stakes decisions, including tax filing positions, audit or compliance determinations, financial statement conclusions, investor reporting, or legal filings. You assume full responsibility for any decisions made based on AI outputs.

6.5 Data Sent to AI Vendors

When you use AI Features, Prosper may transmit a limited subset of Your Data (such as transaction descriptions, prompts, and workspace context) to third-party AI service providers. Our current primary AI vendor is OpenAI OpCo, LLC. Under OpenAI's standard API terms, inputs and outputs may be stored by OpenAI for up to 30 days for safety and abuse monitoring, after which they are deleted. OpenAI does not use API data to train its models under these terms. See our Privacy Policy for full details. AI Vendors process data on our behalf as service providers and are contractually restricted from using your data for their own model training.

7. Bank Connectivity (Powered by Plaid)

Prosper uses Plaid Technologies, Inc. to enable secure bank account connectivity. When you connect a bank account, you are also agreeing to Plaid's End User Privacy Policy. Prosper does not receive or store your bank login credentials.

By connecting a bank account, you authorize Plaid to access your financial data on your behalf and share it with Prosper for bookkeeping purposes. You can disconnect any bank account at any time in your Prosper settings or via the Plaid Portal.

We are not responsible for errors, outages, or data inaccuracies caused by Plaid, your financial institution, or changes to data access that your institution may impose.

8. Invoicing and Payments Features

The Service includes features that allow you to create and send invoices to your clients and to collect payments. You are solely responsible for the accuracy of invoices you send and for compliance with applicable tax and billing laws in your jurisdiction.

If you use payment collection features, payment processing is handled by Stripe. Stripe's terms and fees apply to your use of payment collection. Prosper is not a payment processor and is not responsible for payment processing errors, chargebacks, or disputes between you and your clients.

9. Intellectual Property

The Service, including its software, design, interfaces, AI models, and documentation, is owned by Enbrite LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any intellectual property rights to you.

You may not use our trademarks, logos, or brand names (including "Prosper," "Prosper Finance," and "Enbrite") without our prior written consent.

10. Third-Party Services and Links

The Service integrates with or links to third-party services (including Plaid, Stripe, and others). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI OUTPUT OR FINANCIAL DATA DISPLAYED IN THE SERVICE.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ENBRITE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THE LIMITATIONS ABOVE REFLECT AN AGREED ALLOCATION OF RISK. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU IN FULL.

13. Indemnification

You agree to indemnify, defend, and hold harmless Enbrite LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Term and Termination

These Terms begin when you create an account and continue until terminated. You may terminate your account at any time by contacting us or using the account deletion option in your settings.

We may suspend or terminate your account if: (a) you materially breach these Terms and fail to cure the breach within 10 days of notice; (b) we are required to do so by law; or (c) your account shows patterns of fraudulent, abusive, or harmful activity.

Upon termination, your right to use the Service ends immediately. We will retain Your Data for a reasonable period to allow you to export it, then delete or de-identify it consistent with our Privacy Policy and applicable law. Sections 5.1, 9, 11, 12, 13, 15, and 16 survive termination.

15. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will provide notice via email or in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes.

If you do not agree to the updated Terms, you must stop using the Service and may cancel your account before the effective date.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any disputes arising from them are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles. Any disputes not subject to arbitration will be resolved in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction in those courts.

16.2 Informal Resolution

Before filing any formal legal claim, you agree to contact us at legal@prosperfinance.app and attempt to resolve the dispute informally for at least 30 days. We will do the same.

16.3 No Class Actions

You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not in a class, consolidated, or representative action. You waive any right to participate in a class action.

16.4 Arbitration (Optional — Not Required at Launch)

We reserve the right to add a binding arbitration clause as an optional addendum to these Terms at a future date, subject to advance notice and your right to opt out as required by applicable law. As of the Effective Date of these Terms, arbitration is not required.

17. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and us regarding the Service.
Severability: If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, power outages, or third-party service failures.
Notices: Legal notices to us should be sent to legal@prosperfinance.app. We will send notices to you at the email address associated with your account.
